    U.S. SECURITIES AND EXCHANGE COMMISSION

    Litigation Release No. 20747 / September 25, 2008

Securities and Exchange Commission v. Rey Salomon, Jr. and Ellen H Development LLC, Civil Action No. 3:08-CV-1695 U.S.D.C./Northern District of Texas (Dallas Division) SEC Settles Securities Fraud Case With Rey Salomon, Jr. and Ellen H Development LLC

Today, the United States Securities and Exchange Commission (Commission) filed a civil action against Rey Salomon, Jr. and Ellen H Development LLC (EHD) alleging that they made material misrepresentations and omitted material facts regarding the use of investor funds in connection with the offer and sale of unregistered securities in an oil and gas drilling program. According to the complaint, the defendants violated the antifraud and registration provisions of the federal securities laws. The Commission also alleges that Salomon acted as an unregistered broker-dealer. Salomon and EHD have agreed to settle the charges against them, without admitting or denying the Commission’s allegations.

From at least March through September 2007, EHD, at Salomon’s direction, raised $903,195 from 22 investors through offers and sales of fractional interests in a “turnkey” oil and gas drilling program to be conducted in Denton County, Texas. The EHD offering was not registered with the Commission, and was not otherwise exempt from registration. In addition, the EHD offering documents included material misrepresentations and omitted material facts regarding the use of investor funds and the costs of the drilling program. Specifically, the offering documents stated that: (i) all investor funds would be used to drill two oil and gas wells; (ii) investor funds would not be used to pay the debts of EHD or Salomon; and (iii) the cost to drill the two wells was approximately $4.5 million. Contrary to the express terms of the offering documents, Salomon used at least $220,000 of investor money for his personal benefit, including the repayment of a loan made to EHD and Salomon to help capitalize EHD. EHD and Salomon also knew that the actual cost to drill the wells was more than $1 million less than the offering documents represented.

Specifically, the Commission alleges that Salomon and EHD violated Sections (a), 5(c), and 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The commission further alleges that Salomon violated Section 15(a) of the Exchange Act. Salomon and EHD consented to judgments that permanently enjoin them from future violations of these provisions and hold them liable, jointly and severally, for disgorgement of $903,195 plus $81,809 of prejudgment interest, for a total of $985,004. Based on the defendants’ sworn financial statements and supporting documents, the judgments do not order Salomon and EHD to pay civil penalties and payment of $382,069 of disgorgement and pre-judgment interest was waived.

Rey Salomon, Jr., and Ellen H Development LLC

On September 25, 2008, the SEC filed a settled civil action against Rey Salomon, Jr. and Ellen H Development LLC (EHD) alleging that they fraudulently raised $903,195 from 22 investors in connection with an unregistered securities offering in an oil and gas drilling program. The SEC also alleged that Salomon acted as an unregistered broker-dealer.

Salomon and EHD agreed to settle the charges against them, without admitting or denying the allegations in the SEC’s complaint, by consenting to permanent injunctions. In addition, the defendants agreed to pay, jointly and severally, $903,195 in disgorgement and $81,809 in prejudgment interest, for a total of $985,004. Based on the defendants’ sworn financial statements and supporting documents, the judgments did not order Salomon and EHD to pay civil penalties and payment of $382,069 of disgorgement and pre-judgment interest was waived. Salomon also agreed to be barred from association with any broker or dealer, with the right to reapply after 5 years.

  11. SCAM —– SCAM —  people “Nice comments “below must be employees.  They play games and make statements about how and what they will do.. I paid the up front fee of 3600.00 (1800 per person) – I paid that 3600 all at once, to buy a home, and they tell you they will give it back to you when you buy thu them.. Guess what.. YOU will never purchase a month, they want you to pay the 100 aa month fee for the rest of your life I guess..Yes 3600 dollars, then they will charge you another 50 dollars a month per person.. Most married couples have two people so that’s 100 a month.. I was promised certain things and the such.. I got nothing, actually my credit scores went down during this time.. Some things came off.. But some where things that naturally dropped off and some were…So today 7/17/2012 – after a better part of a year I am trying to get my money back for both me and my wife.. At 1800 dollars each.. They say we raised your score at one place a few points and will try claiming all of that as something they did.. And some scores are completely the same.. They consider this a positive thing of their doing.. I will fight them until I get a refund.. With the money I have spent with MSI, I could have paid the bills and been happier.. Don’t use these guys.. More of a scam, with some “so called fancy” things.. During the start, they will be instantly ready to talk to you and “help” you.. But after they get your money, trying to get a hold of them is almost impossible without a wait of a week or more.. I score them at 1 or worst, for their “play” with you type games. And the money back guarantee.. That’s a lie, they find everything as I mentioned above to skate around doing crap for you.. And getting the money back.. You will never see that home you are trying to buy.. I was able to purchase two brand new vehicles, just as they started, NOW, I can’t even trade my 2011 in on a 2012, and my credit has gotten so bad.. When I have paid almost 10 grand off the truck alone.. AND THE KICKER is I’m using the same dealer and Toyota as the same people.. That is what the worst thing..Is I might as well just not pay anything and see if that will raise my scores, after I cancel MSI.. You are a fool if you use them..

    • If this firm charged $3,600 up front, for any reason having to do with improving your credit score, they violated the Credit Repair Organizations Act, which makes it illegal for any credit repair firm to charge prior to the service actually being performed. Complaints to the FTC, as well as your state’s Attorney General’s office (and whatever state the company is based in) would probably go a long way toward changing their tune about a refund.

      • I already have and you can review my story and replys to mail on there and counter his replies and shoot holes in is company rules.. he violated federal law under croa but he claims he raised my score by a 100 practice and my wife’s by 58 pT’s.. I checked all three scores last night.. they are in the low 600’s So he lies and lies… the rise in scores was the first complaint, which Is now the second thing, I’m pushing the ftc law Where credit repair places can take and monies up front at sell…

        • First of all we dont charge upfront fees we follow CROA. Second Mr. Allen didnt do his part. What do you think happens if you hire a credit restoration company and you are still getting new derogatory items on your report? I am actually surprised that Mr. Allen increased 100 points and Mrs Allen increased 58 even though they got new derogatory information on their credit.

Let me put it this way. I dont care if you get the best personal trainer in the world if you dont do your part you are not going to lose weight. What would happen if your trainer is busting his butt training you and you are eating pizza, drinking softdrinks and not getting enough rest?? Do you really think you will get results? Will it be the trainers fault?

We are not going to waste anymore energy on this matter. Mr Allen needs to start holding himself accountable and STOP blaming others!

          • Well your thing about the trainer and fat people.. IS VERY true.. But exact how would you know you raised my scores the 100 pts..  At that point I would have been way of 700 points.. How would you know this ?? Since you cant pull a credit score?? if you had seen that then we both would be here today.. AS for the people that say they got a bought and msi worked for them.. I would have to say your were either already over the requirement and was informed that you needed credit repair OR you are not a actual customer but more like an employee and are trying to help MSI reputation, so you still have a JOB.. OR it’s Mr. Medoila.. Why would any one that has purchased or had great things done by MSI and they are in homes.. WHy would they be looking on-line, for complaints about MSI.  They would be busy doing things in their new homes, sounds a little funny doesnt it?.
I pulled all three scores last night, they all show just about the same.. But they were still the same.. and things like what someone replied to this thread, stated they had screwed up the scores and lowered them also, and they again took money from them to start..

Also if that was the thuth, I would have to ask, when we droped 3750 dollars and another 100 per month.  We have paided you company about 5 grand and your going to say I had to do work.. I gave you 5 grand I shouldnt have to do anything, you were well paid for nothing..

AS to the pts. LOL LOL LOL prove this point I want to see what fairy tell this is..

*** So the next time I call a tow truck, I should hook up the cables and hoist my vehicle up, all while the driver sits in the truck and waits on me, then hand the guy the money, for the work he didnt do.. OH wait I guess it;s gas money Im paying for, since the distance the truck traveled was 5 miles away.. But it cost a 100 dollars in gas ?? IS that how yoiu would spin it… MR. mediola you seem to be 100% mentally unstable.  in your mind I cant really understand stand ???????????????????????????????????????????????????????????????????????????????????????????????????????????????

The main fact at this time is the money you took from us just to start. YOu will hvae to explain what the 3700+ dollars was for.. ANd why you charge diiferant rates per person, since in the other websites people are telling their stories about there issues about MSI credit solutions..

All in all, you took the money up front, I can prove my case via bank records which have been send to the goverment agencies that requested it and other stuff LIKE your emails.

IN the simplest terms, we were able to purchase two brand new vehicles at 0% interest and months later after giving your guys (MSI CREDIT SOLUTIONS) 9 months, we can even go back to the same dealer using thee same fininace company make  the saame purchase.. My wife was promoted and during this time frame got a rougly 20,000+ increase in her pay this was also reported.. Seem really funny, and all of his statments are to.. Look straight at them and not my stories but others, which state the same issues and the same problems.. Also the replies how MSI fixed there credit and the SUCH.. Why are they looking online for a credit repair place they were so happy with to start with.  That should automaticcly raise  BIG  red flags like the commmuist flags in russia and china..

thanks I might as well use my full name and address now, thank MR. Medoila, you show how good your customers privacy is handled.. Everyone already knows my first and last name from you.., and my email address.. I havent done alot of reading of every reply you have given which is not the same.. I have had the same two issues with MSI, money taken at the start, and then failure to fix my credit.. Mr. Medoila has a new story, everytime he makes a reply to threads posted.

Can you say grapping at everthing as he falls, I know if  I were falling from the top of a tree or building I would grap everything I could.. Since the fall wont kill you the sudden stop is the real issue……..

  12. I just wanted to thank MSI for getting me into

  13. Thanks to MSI  my family was able to purchase our
dream home this year. I went from a 600 score to a 714 in less than 90
days due to the hard work of the MSI,  MSI even
went the extra mile to work with my loan officer and mortgage company to
provide them with necessary document to close my home loan. I can’t say
enough about the professionalism, and attention to detail MSI gave to
my case. I would give anyone who has bumps and bruises on their credit
score the MSI referral. Thanks!!! Worth every penny!

  14. MSI worked for me! I loved the fact that they told me exactly what I needed to do. I had no idea that I didnt have any postive open accounts to build my credit. I feel like I understand so much more about credit now.
The program took 6 months but that is exactly how long they said it could take. I would recommend MSI to anyone that needs help with their credit!!

    Thanks MSI!

  16. MSI solutions did delete three collection accounts off of my record, although it was not something I could not have done by myself if I really knew how the system worked at the time. I had just initiated a divorce and I was in an “improve myself attitude” and thought it would be great if something could be done for me, with minimal effort from myself.
This company is not a true scam but what their real goal is, is to waste time, of course! You can’t make money if you take care of business in one month. Especially if you charge($900.00 retainer) plus $70.00 a month. Why not just dispute 1 or 2 accounts per month so you can get more fees. This is an understandable business move, BUT!—-you aren’t told the details of their process. If you do it yourself, you will dispute all delinquent account in one letter and do in 40 days what MSI does in 6 months. How do you do it yourself?
Check out https://www.selectidtheftprotection.com. You can print out dispute forms, fill them out, and mail them. They are investigated by the companies that actually geather and report information for the three credit bureaus and tell them what to report on you. It worked for me and I’ve had more collection accounts deleted in 45 days than I did in 6 months with MSI. Also, communication with MSI was almost like talking to a creditor. The agent I was working with quit all of the sudden and I was left with a bunch of kids at client services whom seemed to just want me off their backs. This company does help but way too slowly and not worth the money. You can do more yourself.
Good luck to everybody, it can be done!
